LEGAL INSIGHTS

Practical analysis for the decisions behind the documents.

The law matters most when it affects an actual decision—how a business should be structured, what a contract means in practice, how an estate plan should respond to changing circumstances, or what a fiduciary must do when administering an estate or trust.

Legal Insights provides practical analysis of Florida business law, estate and succession planning, and probate and trust administration, with an emphasis on how legal rules operate in real situations.

Due diligence is supposed to test an acquisition, not justify a decision already made. LOIs, financing, liabilities, termination rights, and deal structure can all affect when a Florida buyer—or seller—should be willing to walk away.
A Florida probate inventory is more than a list of assets. It identifies property under administration, establishes date-of-death values, raises homestead and valuation issues, and provides beneficiaries with important information during the estate.
A spouse, child, or trusted relative does not automatically have authority to manage another adult's financial affairs. A Florida durable power of attorney can become a critical part of an incapacity plan—but what the document actually authorizes matters.
Closing changes ownership. It does not finish the legal work. Contracts, tax exposure, governance, employees, licenses, and post-closing obligations can determine whether a Florida business acquisition works as expected after the deal closes.
A Last Will and Testament is an important part of an estate plan, but a will alone may not address incapacity, probate, beneficiary designations, or other important planning considerations.
PRACTICAL ANALYSIS

Legal developments matter when they change what you should do.

Not every new statute, court decision, regulatory proposal, or business development requires action. The useful question is what the development changes for the people and businesses affected by it.

The articles here focus on that practical distinction: what changed, what did not, where the risks or opportunities may be, and when a legal development deserves closer attention.
